Ethical code.

The Code of Ethics of Conduct defines the standards of ethical and responsible behavior of Cotonificio Zambaiti which must be satisfied by the partners of the Cotonificio itself during their activity, in line with the corporate culture, standards firmly based on respect for human and labor rights ( ref. Quality Policy §10).

Cotonificio Zambaiti undertakes to allocate the appropriate resources so that all partners know and understand this Code and are able to guarantee compliance.

By "suppliers" we mean those who provide goods and/or services to Cotonificio Zambaiti.

By “collaborators” or “workers” we mean employees in any form of direct and/or indirect employment contract.

"Department or function managers" means collaborators who have responsibility for managing a production or clerical department or other workers.

The Code applies to all partners who participate in all production, marketing, promotion activities, and all those connected to the activity of Cotonificio Zambaiti.

The Code promotes and is based on the following general principles that define the ethical behavior of Cotonificio Zambaiti:

  • All operations of the Zambaiti Cotonificio are developed from an ethical and responsible perspective in compliance with the laws. All partners are therefore required to comply with all applicable regulations and to update themselves on legislative developments.

  • All persons, natural or legal, who maintain, directly or indirectly, any type of working, commercial, economic, social and/or industrial relationship, are treated equally and with dignity, according to the principles of the law, collective bargaining, or of this Code where there are the greatest guarantees and protections for people.

  • All the activities of the Zambaiti Cotonificio are carried out with full respect for the environment.

  • All collaborators fully adhere to these commitments and are committed to ensuring that the standards set out in the Code are met.

  • All suppliers fully adhere to these commitments and work to ensure that the standards set out in the Code are met.
1. No Forced Labor

Cotonificio Zambaiti will not allow any form of forced or non-voluntary labor by partners.

Suppliers cannot require their employees to carry out any type of unpaid work. All collaborators, both of Cotonificio Zambaiti and of suppliers, must be granted the right to terminate the employment relationship after adequate notice and according to the terms of the law or contract.

2. No Child Labor

Cotonificio Zambaiti and its suppliers undertake not to hire workers younger than that indicated by Italian legislation.

3. No Discrimination

Cotonificio Zambaiti and its partners must not apply any type of discriminatory practice based on race, caste, creed, nationality, religion, age, physical or mental disability, gender, marital status, sexual orientation and/or trade union membership or political affiliation, in reference to recruitment, work, payment, access to training, promotion, termination of employment or pension

4. Respect for freedom of Association and Collective Bargaining

Cotonificio Zambaiti and its partners guarantee that their employees, without distinction, have the right to association, union membership and collective bargaining. No retaliation may result from the exercise of this right and no remuneration or payment must be offered to employees in order to hinder the exercise of this right. Likewise, an open and collaborative attitude towards trade union activities must be adopted. Workers' representatives must be protected from any type of discrimination and must be free to carry out their representative functions in the workplace.

5. No Harsh or Inhuman Treatment

Cotonificio Zambaiti and its collaborators and suppliers must treat their colleagues and employees with dignity and respect. Under no circumstances are physical punishment, sexual or racial harassment, verbal or power abuse, or any other form of persecution or intimidation permitted.

6. Safe and Hygienic Working Conditions

Cotonificio Zambaiti and its suppliers must provide all their workers with a healthy and safe workplace, guaranteeing hygienic, health and safety conditions in compliance with current legislation; Each worker must contribute to maintaining order, cleanliness and hygiene within their work area, helping to maintain a safe and healthy environment. Department and function managers are required to supervise and maintain order, cleanliness and hygiene and to participate in the process for risk prevention, environmental protection and health and safety protection for themselves, colleagues, third parties.

All necessary measures must be adopted to prevent accidents and injuries to workers' health, reducing the risks inherent to work as much as possible, according to current legislation. Workers must be provided with adequate training on health and safety at work. An appropriate record of the training courses carried out must be kept. Likewise, a health and safety manager must be appointed, possibly delegated by the Management, duly authorized and with appropriate decision-making power.

7. Payment of Salaries

Cotonificio Zambaiti and its suppliers must guarantee that the wages paid to their employees comply with current regulations and the indications of the category CCNL.

Cotonificio Zambaiti and its suppliers must not make any withholding and/or deductions from the salary for disciplinary reasons, nor for any reason other than those provided for in the applicable regulations, without the express authorization of the workers. Equally they must provide all workers with written and understandable information on their pay conditions at the time of recruitment and clear information on the details of their pay each time it is paid.

Cotonificio Zambaiti and suppliers must also ensure that wages and other allowances or benefits are paid on time and are made in full compliance with all applicable laws, and in particular, that payments are made in a manner best suited to the workers.

8. Not excessive working hours

Cotonificio Zambaiti and its suppliers adapt the length of the working day of their collaborators to the provisions of the applicable laws or the collective agreement applicable for the sector, if the latter offers greater protection for workers.

Overtime work must be voluntary and must not exceed the hours, daily, weekly or monthly, indicated in the regulations in force and in the national collective agreement for the category.

9. Regular Hiring

The evaluation and selection of personnel for Cotonificio Zambaiti and its suppliers, the costs of which are borne by the company that is looking for a collaborator, are carried out according to correctness and transparency, respecting equal opportunities in order to combine the needs of the company with the professional profiles without any logic of favouritism.

Cotonificio Zambaiti and its suppliers undertake to ensure that all use formulas comply with the applicable laws in force. Therefore, they must not undermine the rights of workers recognized under labor and social security laws and regulations by using schemes which have no intention of promoting regular employment within regular employment relationships .

10. Production Traceability

Suppliers cannot assign any work to third parties without the prior written authorization of Cotonificio Zambaiti. Those who, authorized by the Cotton Mill, outsource any work will be responsible for the application of the Code by these third parties and their employees. Likewise, suppliers must apply the principles of this Code to any home workers involved in the supply chain and must ensure transparency about the locations and working conditions of such workers.

11. Compliance with internal procedures and instructions

Cotonificio Zambaiti spa and its partners agree that management efficiency and the culture of quality and control are essential elements for achieving the objectives. All collaborators and suppliers are required to comply with the company POs and IDLs required by the ISO 9001 Quality System.

12. Product Health and Safety

Suppliers are responsible for all products supplied to Cotonificio Zambaiti; respect the product standards not only for quality, but also for health and safety, so that the products marketed do not pose any risk to customers.

13. Environmental Awareness

Cotonificio Zambaiti and its partners must, at all times, be deeply committed to protecting the environment and must comply with the rules and requirements established by local and international laws and regulations. Likewise, they are committed to respecting the environmental standards established by the Zambaiti Cotonificio.

14. Protection of company assets

All collaborators and suppliers are required to respect the resources (technological, materials, values) made available by Cotonificio Zambaiti spa to allow them to carry out their work. The protection of the company's assets is also a consequence of the respect that everyone has for the company and their colleagues so that structures, values and materials are not stolen and/or damaged. This is to avoid damage, malfunctions or devaluations that could put the company and everyone's work at risk.

15. Confidentiality of Information

All collaborators and suppliers must preserve the integrity and confidentiality of the information they may receive as a result of their professional or commercial relationship with Cotonificio Zambaiti. The obligation of confidentiality will remain once the relationship with Cotonificio Zambaiti has ended in accordance with current regulations and will include the obligation to return any material relating to the company held by the supplier.

16. Communication

Cotonificio Zambaiti spa promotes corporate communication capable of putting the company in contact with civil society. Communication and advertising messages respect ethical values, protecting minors and repudiating vulgar, offensive and discriminatory messages.

17. Implementation of the Code

Cotonificio Zambaiti and partners must implement and maintain programs to promote this Code. Suppliers are required to appoint a person responsible for the implementation and application of this Code. In case of non-appointment, the legal representative of the supplier will fill this role.

Suppliers must communicate the Code to all employees and to all those in some way involved in the Supply Chain of the Zambaiti Cotonificio.

18. Transparency

Suppliers must carry out their activities in an honest, correct and transparent manner, adopting every preventive measure against any type of corruption and extortion that may arise.

Suppliers must not offer, grant, request or accept gifts or donations to/from Cotonificio Zambaiti collaborators that could violate the provisions of the Code.

Suppliers must not manipulate or influence their workers, nor must they falsify any type of record in order to alter the verification process relating to compliance with the Code.

Suppliers must not offer or accept compensation of any kind or attempt to influence, or which may be perceived as an attempt to influence, the impartial judgment or objectivity of persons appointed by Cotonificio Zambaiti or third parties appointed or authorized by it to carry out inspections and compliance audits with this Code.

19. Reference to National Legislation and Conventions and Agreements

The provisions of this code constitute minimum standards only.

If there are national regulations or any other applicable law or any other commitment undertaken or applicable, including collective labor agreements regulating the same matter, the rule that offers greater protection for workers will be applied. Cotonificio Zambaiti assumes, as part of its internal rules, the content of national and international agreements and conventions to which it has adhered and which are applied in the relationship with collaborators and suppliers, committing itself to their promotion and compliance.

20. Compliance Verification

Collaborators and suppliers authorize Cotonificio Zambaiti and/or third parties that may be appointed to monitor the appropriate application of the Code.

For these purposes, they must provide the required means and appropriate access to the facilities and documentation necessary to ensure this verification in compliance with privacy legislation.

21. Ethics Committee and Channels for Reporting Irregularities

In general, compliance with the provisions of this Code of Ethics is entrusted to the prudent, reasonable and careful supervision of each collaborator and supplier, within their respective roles and functions. Everyone is invited to report to their direct superiors the facts and circumstances potentially in conflict with the principles and provisions of the code and with the laws for administrative offenses resulting from crime (Legislative Decree 8 June 2001, n. 231).

This Code is however aligned with the principles and values included in the Quality Policy of the Zambaiti Cotton Mill, which provides for ethical responsibility and, for this purpose and integration, an "Ethics Committee" is established composed of the Management and a CSR manager (corporate social responsibility), by the HR and by a workers' representative, or as necessary by involving responsible company figures (department managers).

The CSR manager is appointed as a reference to ensure and control the application of the Code.

In order to ensure the application of the Code, the Management may act on its own initiative or following a formal complaint presented in good faith by a collaborator, supplier or an interested third party who may have a direct or commercial relationship or professional interest with the Zambaiti Cotton Mill.

Irregularity Reporting Channels are therefore established.

To this end, any communications made pursuant to the provisions of this Code, or in relation to any violation or request relating to the interpretation or application of the Code may be addressed directly to the Ethics Committee by post and addressed to:

The ethics committee will examine all the reports received and in the event that violations of the principles set out in the Code cause damage to the company, both material and immaterial, with respect to the ethical conduct, it will be able to take appropriate measures in compliance with current regulations.
